Welcome to Penventory. Please read these Terms of Service ("Terms") carefully before using our application, website, and services (collectively, the "Service").

By accessing, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree to any part of these terms, you may not access or use the Service.

1. Description of Service

Penventory provides a digital platform and database application designed for users to log, track, organize, and manage their personal collections and inventories ("User Data"). The Service relies entirely on data entered manually and self-reported by the user.

2. Eligibility and Account Registration

  • Age Requirement: You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use this Service.
  • Account Security: You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials (including passwords) and for all activities, data modifications, or entries that occur under your account.
  • Unauthorized Use: You must immediately notify Penventory if you suspect or become aware of any unauthorized use of your account or security breach.

3. User Data and Content Ownership

  • Ownership Retained: You retain all ownership, copyright, and intellectual property rights to the information, text, inventory logs, graphics, or other material you enter into the Service.
  • License to Host: By entering data into Penventory, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, transfer, process, copy, and display your User Data solely for the purpose of providing, operating, maintaining, and supporting the Service to you.
  • Data Accuracy Disclaimer: Because all data is entered manually by users, Penventory does not verify, curate, audit, validate, or guarantee the accuracy, completeness, authenticity, or integrity of any User Data. You assume all responsibility and risk for the accuracy of the information you input.

4. Analytical Rights and Data Aggregation

  • Internal Data Review: You acknowledge and agree that Penventory, as the site operator, reserves the right to review, access, and analyze data entered by users into the system. This internal review is conducted to monitor application performance, troubleshoot database issues, optimize system infrastructure, and inform future feature development.
  • Aggregated and Anonymized Data Rights: Notwithstanding anything to the contrary in these Terms, you grant Penventory the right to de-identify, anonymize, and aggregate your User Data with data from other users to create compiled, high-level datasets ("Aggregated Data").
  • Use of Aggregated Insights: Penventory owns all rights, title, and interest in Aggregated Data. We may use, copy, analyze, publish, share, or monetize these anonymized, macro-level insights for any lawful purpose, including but not limited to industry benchmarking, market research, trend reports, and promotional marketing. Your personal identity, individual account information, and identifiable personal data will never be publicly disclosed or reverse-engineered within these analytics.

5. Acceptable Use Policy

You agree to use the Service in compliance with all applicable local, state, national, and international laws. Specifically, you agree not to:

  • Input, upload, or transmit any data that is fraudulent, defamatory, malicious, obscene, or violates third-party intellectual property or privacy rights.
  • Interfere with, disrupt, bypass, or attempt to compromise the security, integrity, or performance of the Service’s servers, source code, or infrastructure.
  • Use any automated systems, bots, scrapers, or spiders to extract data from the Service without explicit written authorization.
  • Sell, lease, or sub-license access to the Service to any third party.

6. Privacy and Data Security

Your privacy matters to us. The collection, use, and protection of any personal information (such as your email address and account credentials) are strictly governed by our Privacy Policy. By agreeing to these Terms, you also acknowledge that you have read and understood our data handling practices as outlined in the Privacy Policy.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding individual User Data), including but not limited to the application design, user interface, custom code, graphics, algorithms, databases, logos, and branding, are and will remain the exclusive property of Penventory and its licensors.

8. Modification, Suspension, and Termination

  • Termination by You: You can terminate your account and stop using the Service at any time by utilizing the account deletion feature within the application settings or contacting support.
  • Termination by Us: We reserve the right to suspend, restrict, or terminate your access to the Service at our sole discretion, without prior notice, if we believe your conduct violates these Terms, poses a security risk, or is otherwise harmful to other users or our operations.
  • Service Modifications: We continuously update and improve the app. We reserve the right to modify, update, or temporarily discontinue features of the Service at any time.

9. Disclaimers and Limitations of Liability

  • "As-Is" Provision: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Penventory makes no express or implied warranties regarding the reliability, uptime, database stability, accuracy, or continuous availability of the application or your stored inventory data.
  • User Backup Responsibility: While we implement standard data security protocols and backups, Penventory is not liable for the accidental loss, corruption, deletion, or modification of any User Data. You are strongly encouraged to maintain your own local, secondary backups of any critical data logged into the system.
  • Limitation of Liability: To the maximum extent permitted by applicable law, Penventory and its owners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, loss of goodwill, or other intangible losses resulting from (i) your access to or use of the Service, (ii) any conduct or content of any third party on the Service, or (iii) unauthorized access, use, or alteration of your transmissions or data.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Illinois.

11. Severability and Complete Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. These Terms constitute the entire agreement between you and Penventory regarding the Service.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect (such as via an in-app notice, banner, or email). Your continued use of the Service after the effective date of the changes constitutes your explicit acceptance of the revised Terms.
